The Basics
FINRA Membership and Approval Paths
FINRA’s Membership Application Program includes different processes for new firms and existing members making specified changes. InnReg supports both New Member Applications and Continuing Membership Applications, with the scope tailored to the proposed business or transaction.
New Member Application (NMA)
A New Member Application is used by a new broker-dealer seeking FINRA membership. The process addresses the proposed business lines, ownership, personnel, capitalization, supervisory structure, systems, providers, and operating model, together with Form BD and other related registration requirements.
Continuing Membership Application (CMA)
A Continuing Membership Application can be required when an existing FINRA member proposes specified ownership, control, transaction, or business changes under FINRA Rule 1017. Depending on the circumstances, the appropriate path may instead involve a materiality consultation, modification of a membership agreement restriction, or another FINRA process.
InnReg assesses the proposed business or transaction, identifies the applicable regulatory path, and structures the supporting workstreams around the requirements of that path.
Our Scope
What InnReg Handles During Broker-Dealer Registration
InnReg's broker-dealer registration consulting is organized around the actual application process: determining the regulatory strategy, preparing the required filings and supporting materials, coordinating application dependencies, and managing the FINRA review.
01

The Process
From Application Planning to FINRA Decision
A FINRA membership application develops through several stages, from defining the proposed broker-dealer and preparing the application through regulatory review and FINRA's decision. The exact sequence and level of review depend on whether the matter is an NMA or CMA, the proposed activities or changes, and the questions that arise during the application process.
Application Planning
The proposed activities, customers, ownership, personnel, capitalization, systems, service providers, and operating arrangements are defined so the application can be structured around the business the firm intends to conduct.
Application Preparation
The applicable regulatory filings and supporting materials are prepared, including business and operational narratives, financial information, organizational materials, supervisory documentation, and other information required for the application.
Filing and Registration Coordination
The applicable FINRA application is submitted, together with the related broker-dealer, individual, state, and other registration workstreams required for the proposed firm or change.
FINRA Review and Follow-Up
FINRA reviews the application and may request additional information, clarification, revised materials, amendments, or supporting documentation. The application may continue to evolve as those requests are addressed.
Membership Interview and Demonstrations
For an NMA, FINRA conducts a membership interview before issuing its decision. Depending on the business model and issues under review, FINRA may also request technology, systems, product, or workflow demonstrations. CMA matters may involve a membership interview or other regulatory meetings where appropriate.
Decision and Application Completion
FINRA issues its decision on the application. If approved, the remaining application-related steps can include execution or amendment of the membership agreement, satisfaction of approval conditions, and completion of other registration items required before the approved activities begin.

Expectations
Filing Is Only One Part of the FINRA Application
One of the most important distinctions in broker-dealer registration is the difference between preparing an application and managing the application process.
FINRA Rule 1013 permits FINRA to request additional information and documents needed to review an NMA, including subsequent requests during the application process. The membership interview then gives FINRA an additional opportunity to review the application and the standards applicable to membership.
An application can therefore continue to evolve after its initial submission.
InnReg’s role can include:
Interpreting regulatory requests in the context of the application
Identifying which information needs to come from which stakeholder
Drafting regulatory responses
Updating application narratives
Coordinating revised financial information
Maintaining consistency among filings and supporting documents
Preparing management and registered personnel
Coordinating product or system demonstrations
Tracking commitments made during the review
Addressing approval-related follow-up
For a CMA, FINRA can similarly request additional documentation and may require a membership interview. The regulatory workstream is therefore managed through the review rather than treated as complete when Form CMA is filed.
Timing
How Long Does Broker-Dealer Registration Take?
There is no single FINRA New Member Application timeline that applies to every broker-dealer.
FINRA's Membership Application Program rules establish procedural periods for different stages of the review, including completeness review, requests for additional information, the membership interview, and the regulatory decision. Those procedural periods do not create a guaranteed end-to-end approval date.
The overall duration can be affected by:
Complexity of the proposed business
Number and nature of proposed securities activities
Completeness of the application
Availability and qualifications of required personnel
Ownership or disciplinary issues requiring additional review
Capitalization and financial projections
Clearing, custody, banking, and service-provider readiness
Technology and operational readiness
Additional FINRA questions
Applicant response times
Changes to the proposed model after filing
Other required regulatory approvals
InnReg organizes the preparation and response workstreams around the application, but FINRA controls its regulatory review and decision.
For a CMA, timing similarly depends on the proposed change, completeness of the application, whether additional information or a membership interview is required, and the issues presented by the transaction or business change.

Other Services
Where Registration Ends and Ongoing Compliance Begins
Broker-dealer registration establishes the firm's regulatory status and approved scope of business. It is not the same service as operating the broker-dealer's ongoing compliance program after approval.
InnReg keeps those workstreams distinct.
Compliance Program Development
The firm's supervisory and compliance framework is developed as a separate service workstream. Depending on the firm's approved activities, this can include WSPs, AML procedures, risk assessments, communications controls, books and records procedures, business continuity, continuing education, vendor controls, and other required program documentation.
Compliance Program Management
After launch, the broker-dealer has continuing supervisory, compliance, filing, financial, testing, and regulatory obligations. Those needs are addressed through InnReg's Compliance Program Management, outsourced officer and principal services, audit and testing services, and other post-registration support.

Why InnReg
Why Work With InnReg on a Broker-Dealer Registration?
Broker-Dealer Registration Is Core to Our Experience
Broker-dealers have been a core part of InnReg’s work since 2013. We have supported multiple broker-dealers through registration, regulatory change, and compliance projects, and our consulting team brings decades of combined experience working with broker-dealer regulatory requirements and FINRA processes.
Experience Across Different Broker-Dealer Models
An introducing broker-dealer, investment banking firm, market maker, technology-enabled brokerage, or firm operating a specialized trading model can present very different application issues. InnReg structures the NMA or CMA around the applicant’s actual securities activities, customers, personnel, financial model, systems, and operating arrangements.
Application Strategy Connected to the Operating Model
A FINRA application is not simply a set of forms. The business plan, financial projections, supervisory structure, technology, clearing and custody arrangements, providers, transaction flows, and regulatory filings need to describe a consistent business. InnReg coordinates these workstreams as one application project.
Hands-On Support Through FINRA Review
InnReg’s registration work does not end when Form NMA or Form CMA is filed. We can manage FINRA information requests, prepare written responses and supplemental submissions, coordinate amendments, prepare personnel for regulatory meetings, and support membership interviews and requested demonstrations through the application process.
Structured Coordination Across the Application
Broker-dealer applications often require input from management, counsel, the FINOP, registered principals, accountants, clearing or custody providers, banks, technology vendors, and other specialists. InnReg coordinates those dependencies, tracks open items, and keeps application materials aligned as information develops.
Registration Support Built for Execution
InnReg combines regulatory analysis with hands-on application execution. Where included in scope, our team prepares filings, drafts application materials, coordinates supporting documentation, manages regulator responses, tracks outstanding requirements, and carries the registration work forward rather than stopping at high-level recommendations.
