The Basics
Officer and Principal Roles InnReg Can Support
Each appointment is evaluated separately. The role, qualifications, reporting lines, access to records, and required program services are agreed before the individual takes responsibility. Availability depends on the firm’s activities and applicable requirements. The roles below have distinct responsibilities and are not interchangeable.
Chief Compliance Officer
A designated CCO oversees the compliance program, advises management, escalates material issues, and participates in relevant reviews and regulatory matters. InnReg’s CCO service requires the applicable accompanying program engagement. For broker-dealers, business-line supervision is included only when specifically assigned.
Financial and Operations Principal
For broker-dealers, a FINOP performs the applicable financial and operational responsibilities, including regulatory financial reporting, net capital oversight, and supervision of supporting books and records. The appointment uses the appropriate registration category and defines coordination with accounting personnel and the independent public accountant.
Registered Principal
An appropriately registered principal performs specifically assigned supervisory duties for a broker-dealer’s activities, personnel, or business lines. The appointment defines the reviews, approvals, exception handling, and supervisory records within the individual’s remit, as documented in the firm’s written supervisory procedures.
Broker-Dealer Chief Executive Officer
A qualified professional serves as the broker-dealer’s CEO, with senior management responsibilities and any assigned supervisory duties. The role can include material regulatory matters, coordination with the CCO and FINOP, and the applicable annual CEO certification process.
The appointment documents the individual’s responsibilities and the firm’s supporting arrangements. Recurring program administration is separately scoped. The firm retains its regulatory obligations, and each appointed professional remains responsible for the duties of the role.
Our Scope
How the Engagement Works
01
Assess the Role and Eligibility
We review the firm’s activities, proposed responsibilities, required qualifications, and appointment conditions to determine whether InnReg can support the role and what associated services are needed.
02
Define Authority and Access
We establish reporting lines, decision and escalation responsibilities, access to systems and records, and coordination with management. Supervisory assignments and required program arrangements are documented.
03
Coordinate the Appointment
We coordinate onboarding, relevant designation or registration updates, and the transfer of responsibilities. The individual reviews the firm’s program, operating arrangements, open issues, and role-specific obligations.
04
Perform and Review the Role
The appointed professional performs the agreed duties, participates in reporting and escalation, and coordinates with the supporting team. Changes to the firm or role are reviewed for their impact on the appointment.

Why InnReg
Why Work With InnReg on Officer and Principal Appointments?
Responsibilities Defined Before Appointment
We establish what the individual is expected to oversee, perform, approve, and escalate. The role is connected to the firm’s actual business and governance structure, with the supporting arrangements identified before responsibilities are assumed.
Qualifications Matched to the Role
Officer and principal requirements vary by position and business activity. We assess the appropriate qualifications and registration category, including any limits on the activities the individual can supervise or the capacity in which they can serve.
Access That Supports the Work
An appointed professional needs timely information, relevant records, and access to decision-makers. We address those requirements in the working arrangement so the individual can investigate issues, exercise judgment, and escalate matters within the role.
A Supporting Compliance Team
The designated professional coordinates with InnReg’s broader team and the firm’s personnel. Where program services accompany the appointment, operational work and role-specific oversight are assigned and coordinated through the agreed engagement structure.
Experience With Regulatory Interactions
InnReg’s work across applications, compliance programs, and examinations informs how appointed professionals prepare for matters within their remit. Participation is coordinated with management, counsel, and other responsible individuals according to the issue and assigned role.
Structured Reporting and Escalation
We define how significant compliance, supervisory, or financial matters reach management and the governing body. Reporting and escalation reflect the individual’s authority, the firm’s procedures, and the decisions that require senior involvement.
