The Basics
SEC Registration and FINRA Funding Portal Membership
A funding portal needs both SEC registration and membership in a registered national securities association, currently FINRA. These are connected requirements with separate forms and review steps, not alternative registration routes.
SEC Funding Portal Registration
The firm submits Form Funding Portal through EDGAR, disclosing its business, ownership and control, relevant disciplinary information, and other required details. Effective registration depends on the Rule 400 timing requirements and membership approval. Form Funding Portal is distinct from the Form C used for an issuer's offering.
FINRA Funding Portal Membership
The firm applies through Form FP-NMA under FINRA Funding Portal Rule 110. Review addresses whether the applicant can operate within the applicable requirements, supported by its people, arrangements, procedures, and records. A new membership application includes an interview and platform demonstration preparation.
Funding portal status is designed for limited intermediary activities in Regulation Crowdfunding offerings. InnReg assesses whether the proposed platform fits that framework before preparing the registration project. A model involving broader securities activities may require a different registration path.

The Process
From Platform Design to Funding Portal Registration
A funding portal application combines SEC registration, FINRA membership review, and evidence that the platform can operate as described. The project progresses from defining the permitted business through filings, regulatory responses, the membership interview and demonstration, and confirmation of effective status.
Business Model and Eligibility Assessment
The proposed platform activities, compensation, ownership, and user interactions are assessed against the funding portal framework and its limits.
Application and Platform Preparation
The forms and supporting materials are developed while the operating team prepares the issuer and investor workflows, provider relationships, and supervisory arrangements for review.
SEC Filing and FINRA Application
Form Funding Portal is submitted to the SEC. FINRA entitlement, fingerprints, fees, and Form FP-NMA follow the required application sequence.
FINRA Review and Responses
FINRA evaluates the submission, requests additional information where needed, and considers whether the applicant meets the funding portal admission standards.
Membership Interview and Platform Walkthrough
The applicant's representatives participate in the membership interview and demonstrate the platform's relevant functions. Written procedures, user workflows, and provider responsibilities are explained together.
Membership Decision and Effective Registration
FINRA issues its decision and, if approved, the applicant completes the membership-agreement step. SEC registration effectiveness and other applicable prerequisites are confirmed before the portal begins its regulated activities.

Expectations
FINRA Reviews How the Funding Portal Will Actually Operate
The regulatory review extends beyond the two application forms. FINRA can ask how the portal admits issuers, handles investor onboarding, presents offerings, communicates with users, supervises its activities, and preserves records.
For a new membership application, FINRA conducts a membership interview. Its application guidance also calls for a live platform walkthrough. The applicant should be able to show the relevant workflows and explain how the system supports the procedures described in the submission.
A working website alone is not enough. Application materials, provider arrangements, supervisory responsibilities, and the platform experience need to be consistent with the limited activities permitted to a funding portal.
InnReg can support this stage through:
Preparing responses to application questions
Updating ownership and business information
Coordinating requested agreements and records
Preparing management for the interview
Organizing the demonstration agenda
Reviewing regulatory aspects of user workflows
Tracking changes across procedures and platform materials
Coordinating membership-agreement and registration follow-up
The engagement keeps regulatory, product, operations, and provider dependencies visible through the application outcome. SEC registration effectiveness and FINRA membership status are confirmed together before funding portal activities begin.
Timing
How Long Does Funding Portal Registration Take?
The total project includes preparation of the application and platform, followed by the applicable regulatory process. The formal review periods do not include all of the work needed to reach a complete, demonstrable application.
Under Regulation Crowdfunding Rule 400, SEC registration becomes effective on the later of 30 calendar days after the Commission receives the registration or the date the portal is approved for membership in a registered national securities association. A 30-day period therefore does not, by itself, establish a launch date.
FINRA Funding Portal Rule 110 provides for a decision within 60 calendar days after filing, or a later date agreed in writing. An incomplete application can be rejected, and the rule contains short response deadlines for additional information. Preparation quality and timely responses are significant project dependencies.
Timing is affected by:
Readiness of the platform for demonstration
Completeness of ownership and personnel information
Required fingerprints and disclosure review
Qualified third-party funds arrangements
Availability of provider and issuer agreements
Supervisory procedures and assigned responsibilities
Source-of-funding documentation
Responses to FINRA requests
Changes to platform features during review
InnReg coordinates the application schedule with the product and operating teams. FINRA controls the membership decision, and the portal must also meet the conditions for effective SEC registration.

Other Services
Where Portal Registration Ends and Ongoing Compliance Begins
Registration establishes the firmโs status as a funding portal and FINRA member. Full supervisory program development and the recurring work of operating a Regulation Crowdfunding platform are separate services. When combined, InnReg coordinates the procedures, application descriptions, and platform workflows before the registration project is completed.
Compliance Program Development
The portal's written supervisory procedures and compliance controls are developed as a separate service workstream. Depending on the platform, this can include issuer review, investor onboarding and education, investment limits, communications, commitments and cancellations, funds-transfer coordination, recordkeeping, and vendor oversight. Procedures are aligned with the actual platform and assigned personnel.
Compliance Program Management
After registration, the funding portal has continuing supervisory, filing, recordkeeping, and regulatory obligations. InnReg can support program management, communications and workflow reviews, provider oversight, training, testing, regulatory examinations, and changes to the portal's business through an ongoing engagement.

Why InnReg
Why Work With InnReg on Funding Portal Registration?
Securities Experience Applied to the Portal Model
Broker-dealer and securities compliance work has been central to InnReg since 2013. We apply that experience to the funding portal's distinct registration framework, with attention to the narrower activities that the platform may conduct.
Application Planning Connected to Product Design
The application describes a platform that users will actually experience. InnReg works with management and product teams to connect regulatory narratives with onboarding, offering displays, investment commitments, and customer communications.
Preparation for the Live Platform Review
InnReg helps organize the walkthrough around the questions the applicant needs to answer. Management and technical participants can prepare together, identify missing evidence, and explain how the platform implements the proposed workflows.
Coordination of Critical Provider Arrangements
Qualified third-party funds arrangements, recordkeeping, technology, and other providers can affect application readiness. InnReg tracks those dependencies and coordinates the supporting information with the applicant and counsel.
Hands-On FINRA Application Support
The team prepares filings, drafts responses, coordinates revised materials, and tracks application requests. A project lead keeps management informed of open decisions, document needs, and the next regulatory steps.
Registration and Supervision Kept Consistent
InnReg connects the application with the portal's proposed supervision and compliance responsibilities. When program development is included, the procedures and platform descriptions are developed together around the same operating model.
