These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and InnReg LLC (“InnReg,” “we,” “us,” or “our”), governing your access to and use of the website located at www.innreg.com, including all related subdomains, content, resources, and services provided therein (collectively, the “Site”).

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INNREG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

INNREG’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE SHALL NOT EXCEED ONE HUNDRED US DOLLARS ($100), REGARDLESS OF THE FORM OF ACTION.

NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT ANY LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless InnReg, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising out of or related to your use of the Site or your violation of these Terms.

11. Force Majeure

InnReg shall not be held liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, epidemics, government action, labor disputes, infrastructure failure, or internet outages.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Miami-Dade County, Florida, for all disputes arising out of or related to these Terms or your use of the Site.

13. Modifications to Terms

InnReg reserves the right to update or modify these Terms at any time without prior notice. Changes will be effective upon posting. Your continued use of the Site after the posting of updated Terms constitutes your acceptance of those changes.

14. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and InnReg regarding the use of the Site and supersede all prior or contemporaneous communications.
